Terms of service

The agreement between Attria and the healthcare practices that use it.

These terms are the agreement between ATTRIA LLC ("Attria", "we") and the healthcare practice that uses Attria ("you"). They take effect when you accept them: when someone who can sign for your practice ticks the box agreeing to them in Attria, when you sign an order form or accept a quote that refers to them, or when you first use the service. The person who accepts them for a practice confirms they can bind it. In these terms, "patients" means the people your practice serves, including those it calls clients.

1. The service

Attria tracks the calls, texts and website forms your marketing brings in, matches them to patients in your practice management system, and reports which marketing brought you new patients. To do that, we provide tracking phone numbers, a snippet for your website, and connections to your practice management system and your ad accounts.

We may change the service. We will give you 30 days' notice before removing a feature you use.

2. Accounts

  • You decide who at your practice gets access. Each person gets their own login, and logins can't be shared.
  • A browser that has not signed in before needs a code we email before it can sign in.
  • When someone should lose access, tell us at support@attria.ai. We remove them the same business day.
  • You are responsible for what your users do in Attria.

3. Patient data and HIPAA

If you are a covered entity under HIPAA, Attria is your business associate, and if you are a business associate of one, Attria is your subcontractor. If you are neither, as with a veterinary practice, HIPAA does not apply to your information, and our business associate agreement protects it as a contract instead. That agreement, published at attria.ai/legal/baa, is part of these terms. You accept it with these terms, and Attria takes no patient information for your practice until you have. On anything about protected health information, the business associate agreement wins over these terms. You are responsible for knowing whether HIPAA applies to you. State laws, such as veterinary records laws and state health data laws, can still apply to your information, and section 5 covers any permission they require.

4. Data and ownership

  • Your practice owns the data you and your patients send us. You let us use it to provide, secure and support the service for you, and as this section allows.
  • We don't sell your data or train AI models with it. It reaches an ad platform only through the conversion upload you control (section 5).
  • We may combine your data with other practices' data to make pooled, de-identified data: information from which no practice and no person can be identified, de-identified the way HIPAA requires (45 CFR 164.514). We may use pooled, de-identified data for any purpose, such as showing practices how they compare with others like them, and the limits above don't apply to it. We keep it de-identified, never try to identify anyone from it, and make anyone we give it to promise the same. It never includes data we read from your Google or Meta accounts.
  • When the agreement ends, we return the data you ask for and delete the rest, as the business associate agreement describes. Pooled, de-identified data we have already made stays.
  • Attria owns the service, including its software, the design of its reports and everything else we make for it, and the intellectual property in them. You may use the service for your practice while the agreement lasts. We keep every right these terms don't give you.

5. Your responsibilities

  • You have the right to share the information you send us, including any permission your privacy notice or the law requires.
  • We record calls to your tracking numbers unless you turn recording off: from when your office answers, or from the start of the call when the notice below is on. We play nothing on the line unless you turn on the "This call may be recorded" notice, which then plays before your office rings. Whether to turn it on is your choice. You follow the call recording laws that apply to you and your callers, including any that require telling everyone on the call.
  • If you put our snippet on your website, you decide which pages carry it. You follow the Department of Health and Human Services' guidance on online tracking technologies and any state law on website tracking that applies to you, and your website's privacy notice must say that you track calls and forms and use a visitor cookie.
  • When you connect an ad account, you confirm you are allowed to, and you follow that platform's terms. Conversion upload stays off until you turn it on. When it is on, for each lead who books by phone and whose website visit carried a Google or Meta click id, we send that click id and the time of the lead's first call that booked to your own account on that platform. We never send a name, phone number, email address or amount.
  • Attria's reports estimate what brought patients in. They are not medical, legal or billing advice, and the decisions you make with them are yours.

6. Acceptable use

You won't, and won't let anyone else:

  • use Attria for anything illegal, or to harass, spam or deceive anyone
  • try to reach data that isn't yours, or get around a security control
  • test, scan or load the service without our written permission
  • copy, resell or reverse engineer the service
  • use the service to build or help build a competing product, or tell a competitor how it works where that isn't public
  • upload malware

Report a security problem to security@attria.ai. We may suspend access that breaks this section or puts patient data at risk. If we do, we will tell you why and restore access once the problem is fixed.

7. Tracking numbers

We get tracking numbers from our phone vendor and assign them to you. If you ask within 30 days after the agreement ends, we will help you move them to your own phone carrier, if that carrier accepts them. Otherwise we release them.

8. Fees

You pay the fees we agree in writing, monthly in advance, within 30 days of each invoice. Some fees depend on use, such as tracking numbers beyond those your plan includes. We bill those each month for the month before, at the price in your order or quote or, if it names none, at the price we email you before the charge first appears on an invoice. When we offer a paid add-on, we email you its price, and turning it on or using it means you agree to pay it. Fees don't include tax. You pay any sales tax that applies. A late amount carries a charge of 1.5% a month, or the most the law allows if that is less, plus our reasonable costs of collecting it. If a payment is more than 30 days late, we may suspend the service after 10 days' written notice. We will give you 30 days' notice before raising fees. We don't refund fees already paid, except as section 9 says.

9. Term and ending

The agreement starts when you accept it and runs for the term in your order or quote, or for one month if none sets a term. It then renews on its own for terms of the same length. To stop it renewing, either side tells the other in writing at least 30 days before the current term ends. Either side can end it at once if the other breaks these terms or the business associate agreement in a material way and doesn't fix it within 30 days of written notice. If we end it for any reason other than your breach, we refund the fees you paid for time after the end date.

When the agreement ends, your access stops, and we return and delete your data as the business associate agreement describes. Sections 4, 8 (for fees you still owe), 10, 11, 12, 13 and 14 still apply after it ends.

10. Confidentiality

Each side keeps the other's non-public business information confidential, uses it only for this agreement, and shares it only with people who need it and must keep it confidential. This doesn't apply to information that is public, that the receiving side already had or developed on its own, or that the law requires it to disclose. In that last case, the receiving side tells the other first when the law allows. The business associate agreement covers patient data.

11. Warranty

We will run the service with reasonable care and skill and keep the safeguards the business associate agreement requires. Apart from that promise, we provide the service as is. We don't promise it will never be interrupted or contain errors, or that every call, form or patient will be matched correctly.

Google, Meta, your practice management system, your website and your phone system are run by others, under your own accounts with them, and you follow their terms. We aren't responsible for their outages, errors or security problems, or for wrong data they send us, including data we read from your practice management system.

12. Limits on liability

Neither side is liable for lost profits, lost revenue, or indirect, special or consequential damages. Each side's total liability under this agreement is limited to the fees you paid in the 12 months before the claim. These limits don't apply to fees you owe, to a breach of section 6, or to fraud or willful misconduct.

13. Claims by others

We will defend you against a third party's claim that the service infringes their intellectual property, and against a third party's claim or a government investigation that comes from our breach of the business associate agreement. We pay any amount a court awards, a government agency imposes or we agree to in a settlement for such a claim. You will defend us against a third party's claim that comes from data you sent us without the right to, or from your breach of section 5 or 6. The side asking for a defense must tell the other side promptly and let it control the defense. The limits in section 12 apply to these promises.

14. Law and disputes

California law governs these terms. Any dispute about them or the service is settled by binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, before one arbitrator, seated in California. The arbitrator applies California law and can't award punitive damages, and a court may enter judgment on the award. Either side may still ask a court for an urgent order, such as one to stop misuse of data or of the service, before or during the arbitration. The side that wins gets its reasonable lawyers' fees and costs.

15. Changes to these terms

We may change these terms by posting a new version at attria.ai/legal/terms with its effective date. Each version stays at its own dated link. A new version applies from its effective date, and using Attria after that date means you accept it.

16. General

  • These terms, any written order or quote, and the business associate agreement are the whole agreement. If they conflict, the business associate agreement wins on patient data, then the order or quote, then these terms.
  • Notices go by email: to legal@attria.ai for us, and to your practice's account owner for you.
  • Neither side may transfer the agreement without the other's consent, except to a company that buys its business.
  • Neither side is responsible for delays caused by events outside its reasonable control.
  • If a court strikes part of these terms, the rest still applies.
  • We may name your practice as a customer and show its logo on our website and in our sales materials. Any other use of your name in our marketing needs your written OK.
  • We are independent businesses. Neither side can make commitments for the other.
